The Dart family of privately held companies, which includes Dart Container Corporation and Dart Interests, utilizes Dart Finance Shared Services (DFSS) to deliver specialized tax, accounting, financial reporting, treasury, risk management, legal and internal audit services to the Dart family and affiliated entities (“Dart”) through a highly cross-functional and collaborative work environment. As this position is within DFSS, the successful candidate’s responsibilities with Dart will span multiple industries, including hospitality, manufacturing, real estate management and development, and family office.
The Senior Counsel will provide legal support for a wide range of transactions and corporate governance. This role will serve as a trusted advisor to leadership and internal stakeholders advising on legal risks, structuring complex transactions, and ensuring compliance with applicable laws and regulations.
Day-to-Day Role:
- Responsible for legal matters pertaining to entity formation and continuation, ensuring compliance with governing documents
- Draft, review and negotiate legal documents, including financing arrangements, contracts, and shareholder and member related documents
- Provide support, offer legal solutions, and implement actions as necessary to fulfill DFSS, its clients or business partners’ recommendations
- Provide legal support for Treasury and Tax Planning initiatives
- Maintain corporate minute books, including preparation of minutes and resolutions
- Maintain the corporate records databases and provide oversite to databases currently being used
- Provide legal support to private trust companies, their boards of directors, and advisors
- Present legal matters to executive leadership and boards of directors
- Participate in cross-functional transactional development teams and provide input, guidance and draft transactional documentation and support
- Actively participate on transaction development and project teams
- Advise on complex financial transactions, including M&A and financing arrangements, and provide related transaction support and documentation
- Coordinate and/or assist with outside legal counsel and advisors including internationally
Core Skills and Qualifications:
The ideal candidate must possess all of the following:
- Jurist Doctorate degree
- Licensed to practice law in one of the fifty states
- Eight (8) years of corporate law experience
- Ability to work cross-functionally and influence at all levels of the organization
- Exceptional judgement, integrity, and ability to manage sensitive and confidential matters
- Deep understanding of corporate and other entity complex financing structures to include M&A experience
- Excellent negotiation, drafting and communication skills
- Strategic thinking with strong business acumen
- Experience using Microsoft Office, including the ability to create basic reports, documents, presentations and spreadsheets in MS Word, MS Excel, and MS PowerPoint
- High attention to detail and organizational skills
- Ability to manage multiple projects under pressure and to prioritize workload to meet evolving deadlines
- Excellent analytical skills
Preferred Skills and Qualifications:
- Experience working in or with a large, privately held company
