Tax Planning Manager

The Tax Planning Manager will develop and implement various tax-planning and tax-mitigation strategies for the company and the Dart family including consultation and analysis on a range of federal, international, and state/local tax issues
Day-to-Day Role:

  • Develop, identify, research, evaluate and implement international/federal/state/local tax optimization and cash flow strategies
  • Manage all tax aspects of acquisitions and other business development transactions including determination of optimal legal entity and financing structures, working with business leads on modeling proposed transactions, managing tax due diligence, and reviewing legal agreements documenting the transaction’s tax treatment
  • Coordinate the work of external tax, legal, and other advisors including reviewing opinions and maintaining relationships
  • Provide tax advice, feedback and solutions to the Dart family, the corporate finance team, and operating business executives to ensure the consideration of tax implications in the design of capital planning alternatives
  • Lead complex planning projects reconciling difficult technical concerns and tax objectives with the needs of the business
  • Identify and implement appropriate tax risk-mitigation measures
  • Maintain and expand current knowledge of emerging tax issues
  • Monitor pending and enacted tax legislation in assigned jurisdictions for direct and indirect taxes  
  • Provide support to domestic and foreign advisors managing tax audits, controversies and litigation
  • Research, present and defend audit responses requiring strong technical reasoning and substantial factual development
  • Advise on a diverse range of domestic and international tax issues related to entity formation and continuation including, consolidated C corporations, disregarded entities, partnerships, S corporations, and trusts
  • Analyze and document extraordinary tax return considerations and disclosures
  • Coordinate with tax compliance on tax implications of transactions and provide tax technical expertise on certain tax positions to assist with the completion of tax returns
  • Assist treasury with tax analysis of certain proposed investments and cash management strategies
  • Plan, direct, supervise, and coordinate work activities of staff 
  • Responsible for employee development, discipline, performance appraisals, and administration of policies 
  • Make recommendations regarding hiring, firing, and pay adjustments

Core Skills and Qualifications:
The ideal candidate must possess all of the following:

  • Bachelor's degree required with an emphasis in accounting, preferred
  • Certified Public Accountant or Juris Doctorate degree
  • Licensed to practice as a CPA or in law in one of the fifty states
  • Six (6) years of tax experience (post education)
  • Requires one of the following:
    • Two (2) years of supervisory experience, OR 
    • One (1) year of demonstrated leadership skills in terms of leading projects, initiatives or staff
  • Experience with consolidated C tax laws, partnerships and S Corporations
  • Familiarity with common non-recognition provisions of the Internal Revenue Code
  • Excellent research and documentation skills including preparation of tax memorandums
  • Excellent verbal and written communication skills necessary in order to persuade and influence decision making of individuals, groups, or work teams, and to explain difficult technical issues
  • Proven analytical problem solver 
  • Organizational skills including the ability to prioritize workload to meet deadlines
  • Experience using Microsoft Office, including ability to create reports, documents, presentations and spreadsheets in MS Word, MS Excel, MS PowerPoint, and MS Visio
  • Ability to establish project plans, regularly monitor and track progress on work projects, and communicate with project participants
  • Ability to travel up to 10% domestically and internationally  
  • Ability to obtain and maintain a valid driver’s license and passport 
  • Additional work hours including weekends and holidays as required

Preferred Skills and Qualifications:

  • Master’s degree with an emphasis in taxation
  • Experience with tax issues associated with trusts
  • Experience with international taxation
